Regulation D, Under Sections 4(2) and 3(b) of the Securities Act of 1933, the SEC adopted Regulation D to coordinate the various limited offering exemptions and to streamline the existing requirements applicable to private offers and sales of securities. The Regulation establishes three exemptions from registration in Rules 504, 505, and 506.

Rule 504, which provides an exemption for non-reporting companies unless they are "blank check" issuers or certain "shells", stipulates that: The sale of up to $1,000,000 of securities in a 12-month period is permitted provided that there is no general solicitation, the securities sold are restricted securities and cannot be resold except pursuant to a registration statement or exemption, and a notice must be filed with the SEC within 15 days after the first sale. Rule 504 does not provide an exemption under any state laws. In certain limited circumstances where an offering is conducted under state accredited investor exemptions, securities offered under Rule 504 may be freely transferrable. Unlike Rules 505 and 506, Rule 504 does not mandate that specified disclosure be provided to purchasers. Nonetheless, the business person should take care that sufficient information is provided to meet the full disclosure obligations which exist under the antifraud provisions of the securities laws.

Rule 505 was adopted by the SEC to provide small businesses more flexibility in raising capital than under Rule 504 - but without the uncertainty of determining the quality of the purchasers that generally is involved in using Rule 506. Rule 505 provides issuers a limited offering exemption for sales of securities totaling up to $5 million in any 12-month period.

Rule 505 contains certain restrictions regarding "accredited investors" and non-accredited persons. The-term "accredited investor" includes:

Banks, insurance companies, registered investment companies, business development companies, or small business investment companies; Certain employee benefit plans for which investment decisions are made by a bank, insurance company, or registered investment adviser; Any employee benefit plan (Within the meaning of Title I of the Employee Retirement Income Security Act) with total assets in excess of $5 million; Charitable organizations, corporations or partnerships with assets in excess of $5 million; Directors, executive officers, and general partners of the issuer; Any entity in which all the equity owners are accredited investors; Natural persons with a net worth of at least $1 million; Any natural person with an income in excess of $200,000 in each of the two most recent years or joint income with a spouse in excess of $300,000 for those years and a reasonable expectation of the same income level in the current year; and Trusts with assets of at least $5 million, not formed to acquire the securities offered, and whose purchases are directed by a sophisticated person.

If the issuer sells any securities to non-accredited investors, it must furnish to all investors the same type of information as required by Regulation A. It must also furnish audited financial statements.

If an issuer other than a limited partnership cannot obtain audited financial statements without unreasonable effort or expense, only the issuer's balance sheet (to be dated within 120 days of the start of the offering) must be audited.

Limited partnerships unable to obtain required financial statements without unreasonable effort or expense may furnish financial statements prepared on the basis of federal income tax requirements and examined and reported on by an independent public or certified accountant in accordance with generally accepted auditing standards; and The issuer must also be available to answer questions by prospective purchasers about the issuer or the offering.

Further restrictions under Rule 505 include:

The total offering price of each issue of securities may not exceed $5 million. The offering may not be made by means of general solicitation or general advertising. The issuer may sell the securities to an unlimited number of "accredited investors" and to 35 non-accredited persons. There are no requirements of "sophistication" or "wealth" for persons to whom the securities are sold. A company must take any necessary steps to ensure that the purchasers are acquiring securities for investment only, not for resale. The securities are thus "restricted" and investors must be informed that they may not be able to sell except pursuant to a registration statement or exemption from registration. The issuer is not required to file any offering materials with the Commission. Fifteen days after the first sale in the offering, the issuer must file a notice of sales on Form D. The notice also contains an undertaking under this Rule for the issuer to furnish the Commission, upon its staff s request, any information given to non-accredited purchasers in connection with the offering. Rule 505 does not provide an exemption from state securities laws.

SEC Rule 506 offers and sales of securities by an issuer that satisfy the conditions stated below are deemed transactions not involving any public offering within the meaning of Section 4(2) of the Securities Act. For an offering to be considered exempt from the registration requirements, Rule 506 stipulates: There is no ceiling on the amount of money which may be raised. No general solicitation or general advertising is permitted. The issuer may sell its securities to an unlimited number of accredited investors and 35 non accredited purchasers. Unlike Rule 505, all non-accredited purchasers (either alone or with a purchaser representative) must be sophisticated - that is, have sufficient knowledge and experience in financial and business matters to render them capable of evaluating the merits and risks of the prospective investment. The term "accredited investor" is defined under Rule 505.

If the issuer sells any securities to non-accredited investors, it must furnish to all investors the same type of information as required by Regulation A. It must also furnish the same financial information as would be required by registration on Form S-1.

If the issuer cannot obtain audited financial statements without unreasonable effort or expense, then financial statements may be provided in accordance with the special treatment described under Rule 505.

The securities sold are "restricted" under the same stipulations in Rule 505.

A company is required to file a notice of the offering on Form D at SEC headquarters within 15 days after the first sale in the offering. All states except New York provide an exemption from state securities laws for offerings under Rule 506 but the company must file a copy of the Form D and pay a filing fee in each state. New York has a distinctive law which makes a Rule 506 offering within that state impractical.

Accredited Investor Exemption

The Small Business Investment Incentive Act of 1980 created a new statutory exemption from registration under the Securities Act for transactions involving offers and sales of securities by any issuer solely to one or more "accredited investors." Under Section 4(6):

The total offering price of each issue of securities under the exemption may not exceed the limit on small offerings set by Section 3(b) the Securities Act, which currently is $5 million per issue. The offering may not be made by means of any form of advertising or public solicitation.

The term "accredited investor" is defined to include the same individuals and entities as included for purposes of Rules 505 and 506. The issuer is required to file a notice of sales on Form D with the Commission 15 days after the initial sale is made in reliance on the exemption. - 29203

The strap of fabric that makes the inner part of the collar on a dress shirt is referred to as the Collar Band. The collar band is the part of the dress shirt that the top button is attached to. This type is actually made without a collar band, though you will find most shirts do have one. Some designers include a contrasting collar band that has a different fabric color than the rest of the shirt, just for a fashionable touch.

Probably the most defining characteristic of the dress shirt is the collar. The reason so much consideration must be made for this is because a men's dress shirt should flatter your natural body shape- so a person with a stout neck should use a collar with a narrow spread, while a person with a skinny neck should use a collar with a larger spread. By doing so, the neck will visually be enhanced by the collar, thus bringing the best out of your body.

A men's dress shirt has a complete opening on the front, and this is called the front center placket. It can be made of a separate strip of fabric attached to the shirt, or it can be made by folding over. The buttons are attached to the front center placket, and the buttonholes on the bottom underlying part. The most common is the bluff front placket for a dress shirt. Becoming more popular is the fly front and twin stitching front, especially for casual evening wear. You will normally find 6 buttons on the placket, though a tailor may include up to 7 for a taller person.

It is optional to include include a pocket on a dress shirt. Originally, men's dress shirts did not include one, but nowadays it's just a matter of convenience are personal taste. If you are in a very formal event, you may consider a pocket-less shirt, though in any other setting it's fine to have one. The most popular pocket is regular, though you will often find on industry dress shirts, such as a security or pilot shirt, a pleated flapped pocket. The point of the pleat is to allow the pocket to expand. A pocket adds a touch of character to a dress shirt.

Dress shirts come in either full sleeve or short sleeve versions. The long sleeve men's dress shirt is considered the norm in a business or formal setting, though in tropical climates, it can be acceptable to wear a short sleeve style at the work place. In a more casual setting, full sleeves can be rolled up to the length of short sleeves, thus providing a style of their own.

The sleeve placket extends from the break in the cuff approximately 1/4 up the sleeve length. It is also known as a "gauntlet." The main purpose of the sleeve placket is to allow the sleeves to be rolled up, and it also provides a better fit around the forearm for the dress shirt. Some men's dress shirts have a button on the sleeve placket, allowing the opening to be held closed.

The arm whole is more technically called the armscye. It is the opening from the main part of the shirt to the sleeve. Many slim people find the standard armscye on a off-the-shelf shirt to be far to big, thus not properly fitting. This is where tailored shirts are often more popular.

The cuff forms the end of the sleeve, and usually has button, possible two on it. The mark of a men's dress shirt is a fairly well defined cuff. The cuff does serve the purpose of closing the sleeve, and making it fit properly, although it is also designed to be stylish.

Slightly longer, and used in the most formal events, the french cuff is considered very stylish. One does need cuff links to be able to properly wear french cuffs, as they need to be secured closed. In recent years the french cuff has made a comeback to less formal settings such as the office. Before, it was reserved for use with a lounge suit or formal jacket. The design of these cuffs is that they are folded once onto themselves.

Probably the most convenient choice is the convertible cuff. It can be sported as either a regular barrel cuff or as a french cuff. It has buttons to allow it to be worn as a barrel cuff, and it can be folded over onto itself to be worn like french cuffs- there is an extra button whole for the cuff links. This is a great choice as you can wear it in situation.

Rather than having one piece along the entire back a typical dress shirt is make of two- a lower piece along the back and the upper piece that extends to the shoulders referred to as the Yoke. The traditional yoke is made of one piece and the fabric pattern aligns at a ninety degree angle to the rest of fabric on the back, or a British yoke that is aligned at a lesser angle to the pattern on the back.

Pleats allows for flexibility across the shoulders of a men's dress shirt. When the wearer of the dress shirt moves his arms up, the extra fabric folded into the pleats releases and allows flexibility. Pleats are located on the back of the dress shirt, starting at the seam between the back and yoke. Box pleats are located in the centre of the back, and can also be made as inverted box pleats which only show a visible line opening. Another option is the knife pleat, which is created when the fabric is folded over once, on the right and left sides of the back. An alternative to pleats is gathering. Gathering can be applied across the entire back/yoke seam, or just on the right and left back/yoke seam. A dress shirt can also be made without pleats. This is recommended for inward-arched backs that tend to collect a lot of fabric on the lower back of the dress shirt.

The bottom cut comes in two popular variants. Most common is the tail cut, also referred to as the round bottom. In this cut, the front and back of the shirt are longer than the sides of the shirt. This gives a front and back "tail" and curved sides, a design intended to give the shirt more style when untucked -- though the tail cut bottom can also be worn tucked in. The other variant is the square cut, and it is designed for a shirt that will be tucked in most of the time. The square cut, as its name suggests, is square/straight along the bottom.

If you have the problem of extra fabric bunching up on the back of your men's dress shirt you may want to consider darts. The feature of darts is to cut a small slice of fabric off of the back and sewing it it. Dart are usually fairly visible, but those body types that find the feature compliments there body will find they are well worth it. On the other hand, most body types do not require darts, it's more suitable for those with inward arching backs and slim bodies.

Today's energy conscious climate has motivated many to do what they can to become more efficient and conserve energy and money. Unfortunately this same climate has prompted others to take advantage of unsuspecting consumers' wishes to save energy and reduce expenses.

Companies that tout power factor improvement (kVAR correction) and transient voltage suppression are a good example of this bad trend. Lately we are seeing more and more of these companies cropping up and feel it is time to set the record straight.

First, transient voltage surge suppression (TVSS) plays a valuable role in improving power quality to protect sensitive equipment inside a facility. However, TVSS does not save energy. TVSS's are only active a tiny fraction of a second to protect against voltage surges which only last for less than a millisecond. To actually reduce energy consumption the TVSS would need to actually cut power consumption for an extended period of time which is not what they are designed to do. Again, TVSS is important to protect sensitive electrical equipment but buyers should avoid vendors promising, or even guaranteeing, that they will reduce energy consumption.

Now what about vendors who claim that improving power factor will save 15% or 20% or 30% of energy consumption and corresponding cost? This one is a little trickier.

For residential applications, power factor does nothing to save energy because the typical home already has an average power factor of about 0.97 which is almost the perfect power factor of 1 or unity. In addition, the device (called a capacitor) is placed at the main circuit breaker. According to IEEE 5.5.3.3 capacitors must be situated at or near the respective inductive loads to reduce power system losses by reducing heat and distribution losses known as I2R losses.

So what about commercial and industrial facilities using power factor correction to reduce energy costs? It is perfectly appropriate for a company that is incurring penalties or a kVA billing structure from the utility company to improve the facility's overall power factor by employing a capacitor bank at the main service entrance or individual capacitors at or near the respective motor loads. Doing so will eliminate the power factor penalties and/or reduce the kVA demand charges on the utility bill which can save significant money and provide a significant ROI on the investment.

But what about power factor correction reducing kWh consumption? IEEE also tells us that I2R losses only account for 2 to 5% of the total load in a facility. Simple math tells us that it would be against the laws of physics to get the 15% to 30% energy reduction claimed by some vendors. Think about it. Even if your facility had 5% distribution losses and you could correct 100% of the problem via power factor correction at every load (which can't be done) you would still only save 5% at the most. No where near the claims of some capacitor vendors and manufacturers.

All that said, power factor correction when done properly will eliminate utility penalties and kVA demand charges, improve facility power quality, increase electrical system capacity, and save a little energy when applied to the appropriate motor loads.

So make an investment in transient voltage surge suppression and power factor correction when appropriate and necessary. But caveat emptor! - 29203

Buyer Beware - Using Power Factor Correction and Transient Voltage Surge Suppression to Reduce Energy Costs.

Today's energy conscious climate has motivated many to do what they can to become more efficient and conserve energy and money. Unfortunately this same climate has prompted others to take advantage of unsuspecting consumers' wishes to save energy and reduce expenses.

Companies that tout power factor improvement (kVAR correction) and transient voltage suppression are a good example of this bad trend. Lately we are seeing more and more of these companies cropping up and feel it is time to set the record straight.

First, transient voltage surge suppression (TVSS) plays a valuable role in improving power quality to protect sensitive equipment inside a facility. However, TVSS does not save energy. TVSS's are only active a tiny fraction of a second to protect against voltage surges which only last for less than a millisecond. To actually reduce energy consumption the TVSS would need to actually cut power consumption for an extended period of time which is not what they are designed to do. Again, TVSS is important to protect sensitive electrical equipment but buyers should avoid vendors promising, or even guaranteeing, that they will reduce energy consumption.

Now what about vendors who claim that improving power factor will save 15% or 20% or 30% of energy consumption and corresponding cost? This one is a little trickier.

For residential applications, power factor does nothing to save energy because the typical home already has an average power factor of about 0.97 which is almost the perfect power factor of 1 or unity. In addition, the device (called a capacitor) is placed at the main circuit breaker. According to IEEE 5.5.3.3 capacitors must be situated at or near the respective inductive loads to reduce power system losses by reducing heat and distribution losses known as I2R losses.

So what about commercial and industrial facilities using power factor correction to reduce energy costs? It is perfectly appropriate for a company that is incurring penalties or a kVA billing structure from the utility company to improve the facility's overall power factor by employing a capacitor bank at the main service entrance or individual capacitors at or near the respective motor loads. Doing so will eliminate the power factor penalties and/or reduce the kVA demand charges on the utility bill which can save significant money and provide a significant ROI on the investment.

But what about power factor correction reducing kWh consumption? IEEE also tells us that I2R losses only account for 2 to 5% of the total load in a facility. Simple math tells us that it would be against the laws of physics to get the 15% to 30% energy reduction claimed by some vendors. Think about it. Even if your facility had 5% distribution losses and you could correct 100% of the problem via power factor correction at every load (which can't be done) you would still only save 5% at the most. No where near the claims of some capacitor vendors and manufacturers.

All that said, power factor correction when done properly will eliminate utility penalties and kVA demand charges, improve facility power quality, increase electrical system capacity, and save a little energy when applied to the appropriate motor loads.

So make an investment in transient voltage surge suppression and power factor correction when appropriate and necessary. But caveat emptor! - 29203

Why Power Factor Correction and TVSS Do Not Save Energy

In today's energy climate more and more people have become motivated to accomplish what they can to become more energy efficient to conserve energy and money. Regrettably this same climate has encouraged some to take advantage of innocent consumers' desires to save energy and reduce operating expenses.

Vendors that advertise power factor improvement (kVAR correction) and transient voltage suppression to save energy are a good case in point of this bad trend. Recently we are seeing more and more of these businesses cropping up and we believe it is time to set the record straight.

First off, transient voltage surge suppression (TVSS) plays an important part in improving power quality to guard sensitive equipment inside a facility. However, TVSS does not save energy. TVSS's are barely active an infinitesimal portion of a second to defend against voltage surges which only last for less than a millisecond. To actually decrease energy use the TVSS would need to essentially cut power consumption for an extended amount of time which is not what they are designed to do. Again, TVSS is essential to protect susceptible electrical equipment but consumers should steer clear of vendors promising, or even guaranteeing, a reduction in energy consumption.

And what about salespeople who maintain that increasing power factor will save 15% or 20% or 30% of energy consumption and resultant costs? This is false but also a bit trickier.

For homes, power factor correction does zero to save energy because the average home already has an average power factor of approximately 0.97 which is nearly the perfect power factor of 1 or unity. Additionally, the unit (called a capacitor) is installed at the homes main circuit breaker. According to IEEE 5.5.3.3 capacitors must be located at or near the individual inductive motor loads to decrease power system losses by reducing heat and distribution losses known as I2R losses.

So what about commercial and industrial facilities looking to use power factor correction to shrink energy expenditures? It is completely appropriate for a business that is incurring penalties or a kVA billing structure from the utility company to improve the facility's overall power factor by installing a capacitor bank at the main electrical service entrance or individual capacitors at or near the particular motor loads. Doing so will do away with the power factor penalties and/or reduce the kVA demand charges on the electric bill which can save considerable money and provide a significant ROI on the investment.

But what about power factor correction reducing kWh consumption? IEEE also tells us that at most I2R losses only account for 2 to 5% of the total load in a facility. Simple arithmetic tells us that it would be in opposition to the laws of physics to obtain the 15% to 30% energy reduction claimed by some vendors. Consider it. Even if your facility had 5% distribution losses and you could correct 100% of the predicament via power factor correction at every load (which can't be done) you would still save no more than 5% at most. No where close to the claims of some capacitor reps and manufacturers.

All that said, power factor correction when done appropriately will eliminate utility penalties and kVA demand charges, improve facility power quality, increase electrical system capacity, and save a modicum of energy when applied at the proper motor loads in an industrial facility.

So make an investment in transient voltage surge suppression and power factor correction when appropriate and necessary. But caveat emptor! - 29203

This unique structure makes use of one of the three Regulation D exemptions stemming from the Securities Act of'33.

The three common exemption rules are Regulation D (Reg D) Rule 504, Rule 505 and Rule 506. These rules carry multiple criteria that assist businesses in raising equity or debt funding without all the stringent legalities of an IPO. Rule 504 offerings allow a business to raise a maximum of $1 million, less the total dollar amount of securities sold during the preceding 12 month period, under Rule 504, Rule 505 or Section 3 of the act. However, a business can raise only $500,000 by the sale of securities to persons residing in the states of Montana and Alaska, which have no disclosure laws applicable to the offering. For the states that do have disclosure laws, which are 48 out of the 50 states, a business can raise up to $1,000,000. Rule 504 has no prescribed disclosure requirements, no limit on the number of purchasers, and no investor sophistication standards. Far too many of these articles rely on the basic knowledge that the label should be colorful, readable, and "attract attention." What does all this really mean? Are there certain colors that are better than others? Are some words proven to be more effective? Do lots of pictures attract the most attention?

The concept of designing a label is a far more complex than outlining a few basic benefits and hoping your product stands out. Everyday a new product is born, and for every product that emerges, a new label finds its way to a store shelf. In fact, over 122,000 new products were released in 2008 and only 3.5% (4,270) of those products reached over $1 million in sales.

Part of the reason it is difficult for new products to be noticed is because over-crowded shelves lead to confusion, and when consumers are confused, they tend to opt for the "default" brand instead of trying a new product. This is the struggle. This is the fear for creators of new ideas who invest so much in their product, only to find that it was left on the shelf.

A good label design may depend on colors or descriptive text, but a great design relies much more on consumer behavior and in-depth product knowledge. For example, did you know that text placed in the top right or left hand corner of a label is only seen by 1/3 of consumers? Did you know that you only have 5 - 7 seconds to get the average consumer's attention? That's right. If you can't get someone's attention within the first few seconds, it may be lost forever.

So, what does make a great label design? In order to first understand this, we have to understand how consumers think. By nature, humans are visual beings. Color blocking occurs when one product is so different in color from everyone else that it almost jumps off the shelf. When opting for your own color identity, research what would be different. What would stand out? After you have a few different "stand out" colors, think about the colors in terms of your product and what will work best with your brand. Now you have a unique color that fits your style. Using one-line forces you to outline the product's best feature, while letting go of the extra benefits that lead to overcrowding and confusion.

The hard part of label design is that your product is often featured next to your direct competition. The very nature of label design is competitive. You want your product to look better, feel better and ultimately sell better. Graphics can easily give your label a competitive edge. Consumer's eyes are almost always drawn to the center of a label. A descriptive graphic can be just as, if not more effective, than a great one-liner. Whether it is your company's logo or a product photo, the image should convey the product's key benefits without the need of any copy. The graphic should relate to the one-liner, giving a conclusive and concise message.

When putting the design together, there are some obvious concepts that should be relayed. Any and all text must be readable, meaning the font can't be too small or too decorative to easily understand. The graphics or images you choose for your label should relate to your product. The graphic can still be unique, fun or futuristic, as long as it makes sense. These are just a few simple concepts, but they are the most important part of the label.
